1. UDMTEK Co., Ltd. (“Company A”), by resolution of its Extraordinary General Meeting of Shareholders held on September 25, 2024, and Daishin Balance No. 13 Special Purpose Acquisition Company (“Company B”), by resolution of its Extraordinary General Meeting of Shareholders held on September 25, 2024, resolved that Company A would merge with Company B, succeed to all rights and obligations of Company B, and that Company B would be dissolved.

2. Pursuant to the above resolutions, both companies have completed the merger procedures prescribed by the Commercial Act. At the Board of Directors meeting held on October 31, 2024, it was resolved, in accordance with Article 526(3) of the Commercial Act, to replace the merger completion general meeting with a resolution of the Board of Directors and this public notice. Accordingly, we hereby notify all shareholders of the completion of the merger.
